Terms of Service for International Roadshow Service

Welcome to Franchise Global Gateway’s International Roadshow Service! By clicking "I agree" during the checkout process, you ("Client") agree to be bound by these Terms of Service ("Terms") governing your participation in our international roadshow events ("Roadshow").
1. Services Provided
Event Representation
We will represent your brand at various international events by displaying your logo, banner, or other promotional materials.
Event Changes.
The dates and locations of the events are subject to change at our discretion. We may also change or substitute events based on availability or other considerations.
Minimum Registrations.
Each event is subject to minimum registration requirements. If we do not receive the minimum number of registrations needed to make an event viable, we reserve the right to cancel our participation in that event.
Credits.
If we do not attend the total number of events specified in the Roadshow, you will receive a credit towards the next Roadshow in which you participate. No cash refunds will be provided.
2. Participation Requirements
Full Participation.
Participation in the Roadshow is an all-or-nothing commitment. You must participate in all events scheduled for the Roadshow, and cannot select individual events.
Exclusivity.
You will be the exclusive brand for your specific service category. Direct competitors will not be included, and exclusivity is granted on a first-come, first-served basis.
3. No Guarantee of Placements
We do not guarantee that your brand will receive any placements as a result of participating in the Roadshow.
4. Commission and Fees
Commissions.
We will earn a commission on successful placements resulting from the Roadshow. The commission will be 50% of the initial fee paid to your brand, with a minimum commission of $30,000 for a single unit placement and a minimum of $50,000 for a master franchise or area developer placement. Commissions are due and payable to us as soon as the placement agreement is signed.
No Refunds.
No refunds will be issued for commissions paid to us or for fees paid to participate in the Roadshow.
5. Legal Compliance and Liability
Local Laws.
You are responsible for ensuring that your operations comply with all local laws and regulations in the jurisdictions where you operate as a result of the Roadshow.
Indemnification.
You agree to indemnify, defend, and hold harmless Franchise Global Gateway, its affiliates, officers, directors, employees, agents, and representatives from any and all claims, liabilities, damages, losses, or expenses (including reasonable attorneys' fees) arising out of or in connection with your participation in the Roadshow, including but not limited to any breach of these Terms or any violation of applicable laws or regulations.
6. Exclusivity and International Representation
Exclusive Representation.
For the duration of the Roadshow and for a period of six (6) months after the date of the last Roadshow event, Franchise Global Gateway will be the exclusive international representative for your brand. During this period, you agree not to engage with any other service provider for similar services.
Commission Entitlement.
We are entitled to all commissions for international placements of your brand during the exclusivity period, regardless of whether the introduction was made directly by us or if the candidate contacted your brand independently as a result of the awareness created through the Roadshow. This includes scenarios where a candidate, having seen your brand at an event, contacts your brand directly or travels back to their home country and decides to open a franchise there.
7. Limitation of Liability
To the fullest extent permitted by law, Franchise Global Gateway shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your access to or use of or inability to access or use the Roadshow services; (b) any conduct or content of any third party on the service; or (c) unauthorized access, use, or alteration of your transmissions or content.
8. General Provisions
Governing Law.
These Terms shall be governed by and construed in accordance with the laws of the state of Virginia, without regard to its conflict of law principles.
Dispute Resolution.
Any disputes arising out of or in connection with these Terms shall be resolved through good faith negotiations. If negotiations fail, the disputes shall be resolved through binding arbitration in Washington DC.
Entire Agreement.
These Terms constitute the entire agreement between you and Franchise Global Gateway regarding the Roadshow and supersede all prior agreements and understandings, whether written or oral, regarding the Roadshow.
Amendments.
We may amend these Terms at any time by posting the amended terms on our website. Your continued participation in the Roadshow after any such changes constitutes your acceptance of the new Terms.
Severability.
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
Waiver.
Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.
